Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, software products, and services (the “Services”) provided by LMKdev, a d/b/a of LMK Management LLC (“LMKdev,” “we,” “us”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. If you use the Services for an organization, you represent that you are authorized to bind it to these Terms.

2. The Services & accounts

We provide software products and related services that may evolve over time. Some features require an account. You are responsible for the accuracy of your information, for safeguarding your credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to: (a) break the law or infringe others’ rights; (b) access, probe, or disrupt the Services or related systems without authorization; (c) reverse-engineer or resell the Services except as permitted; (d) upload malware or harmful content; or (e) misuse the Services in any way that harms LMKdev, its users, or third parties.

4. Subscriptions, fees & billing

Paid Services are billed through our payment provider, Stripe. By subscribing, you authorize recurring charges to your payment method at the then-current price until you cancel. Fees are stated at purchase. Unless required by law or expressly stated, fees are non-refundable. Subscriptions renew automatically for the same term unless canceled before the renewal date; you may cancel anytime, effective at the end of the current billing period.

5. Intellectual property

The Services, including software, designs, and content we provide, are owned by LMKdev or its licensors and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services per these Terms. All rights not granted are reserved.

6. Your content

You retain ownership of content you submit. You grant us a license to host, process, and display it solely to operate and improve the Services. You are responsible for your content and represent that you have the rights to it.

7. Third-party services

The Services may integrate third-party products. We are not responsible for third-party services, and your use of them is governed by their terms.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LMKDEV WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (b) USD $100.

10. Indemnification

You agree to indemnify and hold LMKdev harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services or violation of these Terms.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or to protect the Services. Provisions that by their nature should survive termination (e.g., IP, disclaimers, liability limits) will survive.

12. Governing law & disputes

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Mecklenburg County, North Carolina, for any dispute not subject to other agreement.

13. Changes

We may update these Terms from time to time. We will revise the “Effective” date above and, where appropriate, provide additional notice. Continued use after changes means you accept them.
