Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, software products, and services (the “Services”) provided by LMKdev, a d/b/a of LMK Management LLC (“LMKdev,” “we,” “us”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

To buy anything from us, hire us, or agree to these Terms for an organization, you must be at least 18 (or the age of majority where you live) and able to form a binding contract; if you act for an organization, you represent that you can bind it. Our free apps and website can be used by younger people with a parent’s or guardian’s permission, and some apps are made for kids to use with a grown-up. Beta testers must be at least 13 (16 in the EU and UK), and only a parent or guardian may sign up for a kids-app beta.

2. The Services & accounts

We provide software products and related services that may evolve over time. Some features require an account. You are responsible for the accuracy of your information, for safeguarding your credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to: (a) break the law or infringe others’ rights; (b) access, probe, or disrupt the Services or related systems without authorization; (c) reverse-engineer or resell the Services except as permitted; (d) upload malware or harmful content; or (e) misuse the Services in any way that harms LMKdev, its users, or third parties.

4. Subscriptions, fees & billing

Paid Services are billed through our payment provider, Stripe. By subscribing, you authorize recurring charges to your payment method at the then-current price until you cancel. Fees are stated at purchase. Unless required by law or expressly stated, fees are non-refundable. Subscriptions renew automatically for the same term unless canceled before the renewal date; you may cancel anytime, effective at the end of the current billing period.

Tips. Tips in our free apps are voluntary, unlock nothing, and are not charitable donations (they are not tax-deductible). In-app tips are processed by Apple or Google under their terms, and refunds are handled by them. A recurring tip renews until you cancel it in your App Store or Google Play subscription settings.

5. Intellectual property

The Services, including software, designs, and content we provide, are owned by LMKdev or its licensors and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services per these Terms. All rights not granted are reserved.

6. Your content

You retain ownership of content you submit. You grant us a license to host, process, and display it solely to operate and improve the Services. You are responsible for your content and represent that you have the rights to it.

Ideas and feedback. If you send us an idea, a suggestion or feedback (for example through an app’s “Ideas” or feedback screen, or by email), you let us use it freely, without paying you or owing you anything, so we can build it for everyone. We are glad to credit you publicly when you ask us to and we use your idea; we never publish your name without your permission.

Betas. Beta and TestFlight builds are unfinished: they may break, lose data, or change, and we may end a beta at any time. Please don’t rely on a beta for anything important.

AI features. Some Services use artificial intelligence. AI output can be wrong; check anything that matters before relying on it. When a Service sends your content to an outside AI provider, it tells you first and asks.

7. Third-party services

The Services may integrate third-party products. We are not responsible for third-party services, and your use of them is governed by their terms.

Apps from the App Store. If you got one of our apps from Apple’s App Store, these Terms are between you and LMKdev, not Apple, and Apple’s Licensed Application End User License Agreement also applies. Apple has no obligation to provide maintenance or support, is not responsible for any warranty claim, product claim, or claim that the app infringes someone’s rights, and is a third-party beneficiary of these Terms with the right to enforce them against you. You confirm you are not in a country subject to a U.S. embargo and are not on a U.S. government restricted-party list.

Copyright complaints. If you believe something in our Services infringes your copyright, email legal@lmkdev.com with the details required by 17 U.S.C. §512(c)(3).

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LMKDEV WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (b) USD $100.

10. Indemnification

You agree to indemnify and hold LMKdev harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services or violation of these Terms.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or to protect the Services. Provisions that by their nature should survive termination (e.g., IP, disclaimers, liability limits) will survive.

12. Governing law & disputes

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Mecklenburg County, North Carolina, for any dispute not subject to other agreement.

13. Changes

We may update these Terms from time to time. We will revise the “Effective” date above and, where appropriate, provide additional notice. Continued use after changes means you accept them.
